Terms and Conditions

These Terms and Conditions (“Terms”) govern all aspects of your access to and use of the digital logistics and delivery platform operated by SafyMile, a Saudi limited liability company officially registered with the competent authorities in the Kingdom of Saudi Arabia, headquartered in Al Khobar, Eastern Province. In this document, the company is referred to as “SafyMile” “we,” “us,” or “our,” as the context may require.

The Platform includes all the technical and operational channels provided to deliver our services, which include — but are not limited to — mobile applications (on iOS or Android), the official SafyMile website, as well as APIs enabling integration with our systems by partners or end users. All these tools are collectively referred to as the “Applications.”

By accessing or using the Platform via any of the aforementioned technical means, you expressly acknowledge that you have read, understood, and fully agreed to these Terms, and you also agree to our Privacy Policy, which is an integral part of these Terms. If you do not agree to any of these provisions, whether in whole or in part, you must immediately refrain from using the Platform or accessing any of its services or content.

 

Acceptance of Terms:

By using the SafyMile Platform — whether through mobile applications, the website, or any of the APIs — you explicitly and unambiguously acknowledge that you have read these Terms and Conditions thoroughly, reviewed all their provisions, fully understood their content and implications, and have given your full and unconditional acceptance of all their clauses, including any updates or amendments that may be made in the future. You further affirm your commitment to comply with all applicable laws, regulations, and guidelines in force in the Kingdom of Saudi Arabia that govern your use of the Platform and your interactions through it.

You also confirm that you have full legal capacity to enter into a binding agreement under the applicable laws of the Kingdom, whether you are using the Platform in your personal capacity as an individual user or as an official and legally authorized representative of a business entity or legal organization. Your continued use of the Platform after reviewing these Terms constitutes explicit acceptance of all their provisions. If you do not agree to these Terms in whole or in part, or if you lack the legal capacity or proper authorization, you must immediately refrain from using the Platform or any of its services.


Definitions:

For the purposes of these Terms and Conditions, the following terms shall have the meanings specified below, unless the context clearly indicates otherwise:

        User: Any natural or legal person who uses the SafyMile Platform in any form, whether to register, create an account, submit delivery requests, or benefit from any of the services offered through the Platform. This includes merchants, individuals, end customers, or any party using the Platform for a legitimate purpose.

        Delivery Partner: Any natural or legal person acting as an independent contractor, not an employee of SafyMile, who provides transportation or delivery services in response to requests submitted by users through the Platform. These activities are governed by internal agreements concluded between the Delivery Partner and SafyMile.

        Applicable Laws: Includes all laws, regulations, executive decisions, and administrative guidelines issued by official and regulatory authorities in the Kingdom of Saudi Arabia, whether directly or indirectly related to digital transport and delivery services. This includes, but is not limited to:

o    The Communications, Space & Technology Commission (CST)

o    The General Transport Authority

o    The National Cybersecurity Authority

o    The Zakat, Tax and Customs Authority

o    Any other competent regulatory or supervisory authority in this field.

 

Our Services:

The SafyMile Platform functions as a digital intermediary aimed at facilitating and organizing delivery operations by connecting users with a network of independent Delivery Partners. The Platform allows users to submit delivery requests and handles the process of matching those requests with qualified and available Delivery Partners.

It is important to note that SafyMile does not own or directly operate any transportation or delivery vehicles, nor does it itself provide delivery services. All delivery operations are carried out exclusively by independent Delivery Partners who engage with users through the Platform and are subject to cooperation terms set forth by SafyMile.

Accordingly, SafyMile role is limited to facilitating access to delivery services and providing the technical and organizational infrastructure required to complete delivery requests. SafyMile bears no direct responsibility for the execution of transportation operations or the quality of service performed by Delivery Partners.

 

User Account and Responsibilities:

To access and benefit from the services of the Platform, the user must create a personal account via the SafyMile applications or the official website. During the registration process, the user is required to provide accurate, correct, and up-to-date information that reflects their actual status, including identity details, contact information, and any other data requested by SafyMile.

The user is fully responsible for maintaining the confidentiality of their account login credentials, including username and password. The user alone shall bear all consequences of any unauthorized use resulting from negligence or disclosure of such information to any third party.

The user is also responsible for all activities carried out through their account, whether performed personally or by any other individual who gains access to the account. The user must update their account information immediately upon any change to ensure uninterrupted service.

SafyMile reserves the full right to suspend or permanently cancel a user’s account without prior notice if it is determined — at its sole discretion — that the information provided is false or misleading, or if the account is used in violation of these Terms or the applicable laws of the Kingdom.

 

Use of Software:

SafyMile grants you a limited, non-exclusive license to use its digital application for lawful personal or commercial purposes in accordance with the usage terms set forth in this document. Under no circumstances may you copy, reproduce, distribute, license, or resell the application in any form.

Reverse engineering, decompiling, modifying, or attempting to discover the source code of the application by any technical means is strictly prohibited. You are also prohibited from using the application on unauthorized or unofficially modified devices that may affect the app’s performance or the security of the Platform.

You agree not to upload, publish, or transmit any malicious software, malware, or viruses through the application, nor engage in any activity that may negatively impact the Platform’s performance or the security of its users or partners. SafyMile reserves the full right to take any necessary action, including account suspension or legal compensation claims, in response to any breach of this section.

 

Service Usage Restrictions:

When using the SafyMile Platform, you agree to do so in a lawful and proper manner, and you commit to refraining from any illegal practices or actions that violate the laws in force in the Kingdom of Saudi Arabia. This includes, but is not limited to, the use of the Platform for any unlawful activity such as the transport or delivery of prohibited or regulated materials, manipulation of shipment information, or misrepresentation of identity.

You are prohibited from providing false or misleading identification or business information, whether during account creation or while using the Platform. This is considered a clear violation that warrants immediate service suspension.

You must not attempt to hack or gain unauthorized access to the Platform’s data, systems, servers, or databases, nor attempt to bypass access permissions or tamper with the Platform through harmful or unauthorized technical means.

It is also strictly forbidden to perform any action that could disrupt or weaken SafyMile security features or protection mechanisms, or that may impact the stability or performance of the Platform.

Finally, under no circumstances may you negotiate or engage in direct delivery agreements with Delivery Partners registered on the Platform outside the scope of the Platform or without prior written permission from SafyMile, in order to preserve system integrity and the rights of all involved parties.

 

Shipments and User Obligations:

By using SafyMile services, the user affirms that they are the lawful owner of the shipment’s contents or are legally authorized by the owner to act on their behalf. The user also affirms that the contents of the shipment do not violate any laws or regulations in force within the Kingdom of Saudi Arabia and assumes full responsibility for the legality of the shipment and any resulting obligations.

 

The user further agrees to comply with all local regulations and instructions related to the safety of shipments, including proper packaging standards to ensure the protection of contents during delivery. If the shipment contains fragile items or materials requiring special handling, the user must ensure they are securely and clearly packaged and include visible warning labels or handling instructions as needed.

 

It is strictly prohibited for the user to ship any dangerous, prohibited, perishable, or explosive materials, or items requiring special licenses unless such contents are explicitly declared via the Platform. If accepted, these must be packaged and transported in accordance with applicable regulations.

 

SafyMile assumes no liability for damages or losses resulting from improper packaging performed by the sender. Nor is SafyMile liable for lost or undelivered shipments resulting from inaccurate addresses or the absence of the recipient at the specified delivery location.

 

Furthermore, SafyMile disclaims all liability for any agreements or direct dealings made between the user and a Delivery Partner outside the scope of the Platform, whether such dealings occurred before or after a delivery request. Such conduct constitutes a direct violation of these Terms of Use.

 

Payments and Fees:

The user is responsible for paying all fees associated with their use of SafyMile services. These include the service fee, as well as any taxes or additional charges imposed by the applicable regulations in the Kingdom of Saudi Arabia.

The total service fee will be clearly displayed to the user before order confirmation. Confirmation of the order shall be considered an explicit agreement by the user to bear the full cost.

Available Payment Methods

SafyMile provides users with multiple options to pay for services, including:

        Cash on Delivery: The user pays the service fee in cash directly to the Delivery Partner upon delivery of the shipment.

        Electronic Payments: This includes Mada cards, Apple Pay, STC Pay, and other bank cards approved in the Kingdom.

        SafyMile Wallet: An internal payment system within the application that allows users to top up their prepaid balance and use it to pay for orders.

 

Refund Policy:

All payments made through the Platform are considered final and non-refundable. However, exceptions may be granted in the following cases:

  1. If the Saudi Consumer Protection Law stipulates a right for the consumer to receive a refund under specific conditions.
  2. If SafyMile, at its sole discretion, determines that the reason for the refund request is valid and warrants consideration.

In both cases, the refund request will be reviewed based on transparency, fairness, and after assessing the order’s condition and relevant details.

 

Cancellation Policy:

Users have the right to cancel an order before the Delivery Partner has initiated the process. However, in certain cases, a cancellation fee may be imposed based on:

        The timing of the cancellation relative to when the order was scheduled to begin.

        The costs that may have been incurred by SafyMile or the Delivery Partner up to the moment of cancellation.

SafyMile reserves the right to determine the value of the cancellation fee and to inform the user prior to applying it. SafyMile may deduct the cancellation fee from the selected payment method or the user’s SafyMile Wallet balance.

 

Promotional Offers and Credits:

From time to time, SafyMile may issue promotional codes or digital credits granted to users as part of marketing campaigns or special offers aimed at enhancing the user experience and encouraging the use of the Platform. These codes and credits are subject to specific usage conditions that must be adhered to.

The promotional codes or credits issued by SafyMile have a specified validity period, which will be communicated to the user at the time of issuance. The validity period expires automatically upon its lapse unless expressly extended by SafyMile.

These codes or credits are non-transferable under any circumstances. They may not be sold, exchanged, or assigned in any manner.

Each promotional code or credit may only be used once and may not be redeemed for cash or exchanged for any real or financial value.

SafyMile reserves the full right to cancel any promotional code or credit that has been used in an unauthorized or fraudulent manner or in violation of the specified terms, including any attempt to exploit or manipulate the system. SafyMile also has the right to suspend the account of any user found to be involved in such violations without prior notice.

 

Third-Party Services:

The Platform may contain hyperlinks leading to websites, services, or applications owned or operated by third parties outside of SafyMile control. The Platform may also provide access to services operated or delivered in whole or in part by other entities, whether through APIs, technical integrations, or otherwise.

SafyMile has no control over the content, functionality, or reliability of such external services and bears no legal, contractual, or technical liability for any information, products, or services provided by those third parties — including their accuracy, completeness, or compliance with applicable regulations.

Accordingly, any use of such links or third-party services is entirely at the user’s own risk. SafyMile disclaims all responsibility for any direct or indirect damage or loss suffered by the user due to interacting with such services, visiting their websites, or sharing personal data with them.

SafyMile also bears no responsibility for any dispute arising between the user and any third party as a result of a contractual, commercial, or technical relationship established through those links or applications, whether concerning service delivery, payments, technical support, or otherwise. Users are advised to review the third party’s terms and policies before using their services or providing any personal information.

 

Intellectual Property Rights:

All intellectual property rights — including but not limited to copyrights, trademarks, trade names, logos, designs, icons, user interfaces, software, textual, visual, and audio content, and any other digital or technical materials used on or appearing through the Platform — are the exclusive property of SafyMile or its licensed affiliates. These rights are protected under the applicable laws and regulations of the Kingdom of Saudi Arabia as well as relevant international intellectual property treaties.

The user may not, under any circumstances, copy, reproduce, redistribute, republish, modify, upload, store, transmit, sell, license, or create derivative works from any part of the Platform’s content, whether for commercial or non-commercial purposes, without obtaining prior, express, and written consent from SafyMile. This includes, but is not limited to, the application's source code, visual design elements, databases, promotional materials, or instructional content.

It is strictly prohibited to use SafyMile trademarks, logos, or any content representing the Platform’s identity in a manner that implies an affiliation, partnership, or implicit approval from SafyMile without documented and official authorization.

Regarding content uploaded or submitted by users through the Platform — including texts, images, ratings, reviews, or other data — the user grants SafyMile a global, perpetual, non-exclusive, irrevocable license to use such content for operational, marketing, statistical, or developmental purposes in accordance with the adopted Privacy Policy. This includes the right to store, republish, analyze, or use the content in marketing campaigns or internal and public reports, while preserving the confidentiality of associated personal data.

SafyMile reserves all legal rights to pursue any unauthorized use or violation of this clause in accordance with the applicable regulations.

 

Limitation of Liability:

SafyMile is committed to providing its services in accordance with the highest standards reasonably possible. However, the user acknowledges and agrees that the use of the Platform and its related delivery services is entirely at their own risk. To the extent permitted by the laws of the Kingdom of Saudi Arabia, SafyMile — including its employees, representatives, and service providers — shall bear no legal, contractual, or tortious liability for any loss or damage arising from the use of the Platform or reliance on services provided by contracted Delivery Partners.

SafyMile assumes no obligation or liability for the loss or damage of shipments when such issues are caused by user negligence — such as providing an incorrect address, improper or insufficient packaging, failure to follow instructions or terms relating to the type or contents of the shipment, or the recipient’s absence at the time of delivery.

SafyMile disclaims any and all liability for direct or indirect damages that may affect the user or any third party as a result of using the service. This includes, without limitation, loss of profits, business opportunities, data, delays, underperformance by Delivery Partners, failure to meet their obligations, or misconduct whether intentional or due to negligence.

The user acknowledges that SafyMile serves strictly as an intermediary platform that provides a digital environment connecting users with independent Delivery Partners. SafyMile does not exercise direct oversight or operational control over the day-to-day execution of each delivery. Therefore, if any liability were to arise on the part of SafyMile, such liability shall be limited and determined at SafyMile sole discretion, and shall not exceed an amount deemed appropriate in relation to the nature of the service and the resulting damage. SafyMile shall not be liable for any indirect, consequential, or loss-of-profit damages or loss of data or commercial opportunities.

This limitation of liability is an essential part of the agreement, and no claim may exceed this limit. Any claim must also be filed within seven (7) days from the date of the incident; otherwise, it shall be deemed null and void.

 

Indemnification:

The user acknowledges full responsibility for their use of the Platform and the services offered through it, and agrees to indemnify and hold harmless SafyMile, its partners, employees, agents, and representatives from and against any and all claims, actions, damages, liabilities, losses, costs, or expenses (including reasonable attorneys’ fees) arising from or related to any of the following circumstances:

  1. Unlawful Use or Violation of Applicable Laws
    If the user uses the Platform in a manner that is unlawful or violates any applicable laws, regulations, or official directives in force within the Kingdom of Saudi Arabia, or in breach of any provision of these Terms and Conditions, whether such violation is intentional or due to negligence.
  2. Misuse or Abuse of the Platform
    If the user misuses the Platform or any of its related services — whether through fraud, manipulation, submission of false information, uploading of illegal or harmful content, or any behavior that harms the reputation of SafyMile or disrupts its technical or commercial systems.
  3. Direct Dealings with Delivery Partners Outside the Platform
    If the user — whether a merchant or a customer — engages in any form of direct communication, coordination, negotiation, or agreement with any Delivery Partner outside the scope of the Platform without obtaining prior written consent from SafyMile. Such conduct constitutes a direct violation of the Platform’s operating system and undermines the fairness of commission distribution and transparency of operations.

SafyMile reserves the full right to take any legal or regulatory actions necessary to protect its rights, including recourse to the competent judicial authorities in the Kingdom of Saudi Arabia. The user also agrees to cooperate fully with SafyMile in the event of any dispute, claim, or legal proceeding relating to the aforementioned cases.

 

Confidentiality:

All parties dealing with the SafyMile Platform — including SafyMile itself, Platform users, and independent Delivery Partners — commit to fully maintaining the confidentiality of all information accessed or exchanged during the use of the Platform or while providing or receiving delivery services. This applies to any data, whether related to logistics operations, personal details, or commercial activities.

This obligation includes, but is not limited to, the following types of information: customer data such as names, phone numbers, addresses; shipment and order details; delivery times; nature of shipped materials; pricing; and any commercial, operational, or technical information pertaining to any involved party.

It is strictly prohibited for any party to share, disclose, or reuse this information with any external entity for any purpose unless required by law under the regulations of the Kingdom of Saudi Arabia or by an official court order issued by a competent authority.

Under no circumstances may confidential information obtained through the Platform be used for any commercial, marketing, competitive, or personal activity unrelated to the core services provided by SafyMile. Any breach of this obligation shall render the violating party legally liable and responsible for compensating resulting damages. SafyMile also reserves the right to suspend or terminate the account immediately and pursue all necessary legal actions to protect its interests and the data of its users.

 

Prohibition of Direct Dealings Outside the Platform:

All parties — including users and merchants — acknowledge and agree that all delivery operations conducted via the SafyMile Platform must be exclusively managed and executed through the Platform, using SafyMile authorized technical systems and with the participation of officially registered and approved Delivery Partners.

Users and merchants are strictly prohibited from communicating, contracting, or reaching any form of agreement with any Delivery Partner affiliated with or cooperating with SafyMile to carry out delivery services outside the scope of the Platform, or through any external channels not supervised by SafyMile — whether directly or indirectly, and regardless of the nature or number of the agreed transactions.

Any violation of this commitment shall be deemed a material breach of the Terms of Use and entitles SafyMile, at its sole discretion and without prior notice, to take the following actions:

  1. Immediately suspend or cancel the violating user’s or merchant’s account.
  2. Permanently terminate the contractual relationship with the offending party.
  3. Claim full compensation for any direct or indirect damage incurred by SafyMile as a result of such violation — including, but not limited to, loss of due commissions, harm to the Platform’s reputation, or disruption of operational systems.

SafyMile emphasizes that this clause is intended to protect the operational integrity of the Platform, ensure fairness among all parties, and safeguard the long-term growth and ethical standards of the system.

 

Governing Law and Dispute Resolution:

These Terms and Conditions — including their interpretation, application, and enforcement of any of their provisions — are subject to all laws and regulations in force in the Kingdom of Saudi Arabia. By using the Platform or benefiting from the services provided through it, you expressly agree to full and unconditional compliance with these laws and regulations.

In the event of any disagreement, dispute, or claim related to the use of the Platform or the execution or interpretation of any provision of these Terms, all parties agree to first attempt to resolve the matter amicably within a period not exceeding thirty (30) days from the date of official notification of the dispute.

If a peaceful resolution cannot be reached within the specified time frame, exclusive jurisdiction to resolve the dispute shall rest with the competent courts of the Kingdom of Saudi Arabia — specifically within the judicial district of SafyMile headquarters — unless otherwise agreed upon in writing by both parties.

The user expressly acknowledges that recourse to the Saudi judicial system is the sole and binding method for resolving any legal dispute arising under these Terms, and waives the right to later contest jurisdiction or claim lack of legal or territorial competence of the designated Saudi courts.

 

General Provisions:

SafyMile reserves the full right, without any obligation of prior notice, to amend, update, or replace any part of these Terms and Conditions at any time it deems appropriate, at its sole discretion. Continued use of the Platform or its services after the publication of any amendments shall constitute explicit and binding acceptance of such changes. SafyMile recommends that all users review these Terms periodically to stay informed of any updates or revisions.

The user — whether a natural or legal person — may not assign any of their rights, transfer any obligations, or subcontract any duties under these Terms to any third party without obtaining SafyMile prior, express, written consent. Conversely, SafyMile reserves the right to assign these Terms or any of its rights or obligations, in whole or in part, to any of its subsidiaries, affiliates, or to any third party in the event of a merger, acquisition, transfer of ownership, or restructuring, without any need for prior notice or user consent, and without affecting the user's existing obligations to SafyMile.

If any provision of these Terms is found to be illegal, invalid, or unenforceable — in whole or in part — for any reason, such invalidity shall not affect the legality, validity, or enforceability of the remaining provisions. The remaining provisions shall remain in full force and effect. The unenforceable provision shall, to the extent possible, be interpreted in a manner that achieves its intended purpose without violating public order or the applicable laws of the Kingdom of Saudi Arabia.

 

Force Majeure:

The parties acknowledge and agree that SafyMile shall bear no legal or compensatory liability for any delay or failure in fulfilling any of its obligations under these Terms and Conditions if such delay or failure arises directly or indirectly from events or circumstances beyond the company’s reasonable control. This includes, but is not limited to:

        Natural disasters such as earthquakes, floods, storms, or fires

        War or threats of war, armed conflicts

        Epidemics or pandemics

        Governmental decisions or actions

        Power outages

        Telecommunications or internet service failures or disruptions

        Labor strikes or industrial actions

        Riots or civil unrest

        Or any similar unforeseen incidents

In the event of a force majeure situation, the affected obligations shall be suspended temporarily for the duration of the event, and all reasonable efforts shall be made to resume the service as soon as the cause is removed. SafyMile shall not be held liable for any monetary compensation due to this temporary suspension or its resulting effects.

The other party shall have the right to terminate the agreement if the force majeure condition persists for more than thirty (30) days without service resumption, provided that written notice is submitted.

 

Fair Use Policy:

SafyMile is committed to providing its services with equal quality and fairness to all users, and strives to preserve the integrity and transparency of the Platform. Therefore, the company reserves the full right, without prior notice, to monitor user behavior on the Platform and take corrective action when necessary, if it becomes evident that a user has misused the Platform or its services in a manner that violates applicable laws or commercial norms.

This includes — but is not limited to — the following behaviors:

        Submitting fake or repetitive orders with the intent to abuse the system

        Unauthorized use of promotional discount codes

        Tampering with delivery information

        Obstructing the work of Delivery Partners or negatively impacting Platform performance

In such cases, SafyMile has the right to take any appropriate action, including:

        Temporarily suspending the user’s account

        Permanently deleting the user’s account

        Restricting access to certain features or promotions

SafyMile bears no obligation to pay compensation or refund any paid amounts in these cases, and reserves the full right to pursue compensation for any direct or indirect damages incurred.

 

Effectiveness of Terms and Termination of Previous Agreements:

These Terms and Conditions constitute the complete and final agreement between SafyMile and the user concerning the use of the Platform and access to the services provided through it. This document is binding and supersedes all prior agreements or understandings — whether written or verbal — between the parties regarding the same subject matter.

No delay by SafyMile in exercising any of its rights, nor any failure to enforce any provision of these Terms, shall be considered a waiver of that right or an acceptance of a future violation.

If any provision of these Terms is deemed illegal or unenforceable for any reason, such invalidity shall not affect the validity or enforceability of the remaining provisions, which shall continue to be fully effective and legally binding. The unenforceable provision shall be interpreted as closely as possible to its original intent in a manner consistent with applicable laws.
